- Subscription services are billed according to the selected billing cycle.
- Failure to pay invoices by the due date may result in suspension or termination of services.
- The Client remains responsible for all applicable taxes unless otherwise stated.
5. Domain Registration
Where domain registration services are provided:
- Domain registrations are subject to availability.
- Registration fees cover the initial registration period only.
- Domains require annual renewal.
- Failure to renew a domain before its expiry may result in permanent loss of the domain name.
- Havana Technologies LLC is not responsible for expired or lost domains resulting from missed renewal payments.
6. Hosting and Cloud Services
When hosting or cloud services are provided:
- We strive to maintain reliable service availability.
- Scheduled maintenance may temporarily affect service availability.
- Clients are responsible for complying with the resource limits of their hosting package.
- Backup services are provided only where included in the purchased plan.
7. Software and Website Development
- Every project is developed according to the agreed scope and specifications.
- Development timelines may change if required information, approvals, or content is delayed by the Client.
- Requests outside the agreed scope may be quoted separately.
- Clients are responsible for reviewing and approving project deliverables.
8. Intellectual Property
Unless otherwise agreed in writing:
- Havana Technologies LLC retains ownership of its proprietary tools, templates, methodologies, frameworks, and reusable software components.
- Ownership of custom-developed deliverables transfers to the Client only after full payment has been received.
- Third-party software, plugins, libraries, and open-source components remain subject to their respective licences.
9. Acceptable Use
You agree not to use our website or services to:
- Violate any applicable law or regulation.
- Distribute malicious software or harmful code.
- Attempt unauthorised access to systems or networks.
- Transmit spam or unsolicited communications.
- Infringe intellectual property rights.
- Interfere with the security or operation of our services.
Violation of this section may result in immediate suspension or termination of services.
10. Device Repair and Data Recovery
For repair and data recovery services:
- Devices are accepted subject to inspection.
- Successful repairs and data recovery cannot be guaranteed.
- Clients are responsible for maintaining backups before submitting devices.
- Havana Technologies LLC shall not be liable for data loss resulting from existing hardware failure or pre-existing damage.
11. Third-Party Services
Certain services depend on third-party providers, including:
- Domain registrars
- Cloud hosting providers
- Internet service providers
- Payment processors
- Government agencies
- Software vendors
Havana Technologies LLC is not responsible for interruptions, delays, or failures caused by third-party providers beyond our reasonable control.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Havana Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, goodwill, or data.
Our total liability for any claim relating to our services shall not exceed the amount paid by the Client for the specific service giving rise to the claim during the preceding twelve (12) months.

Unless expressly stated otherwise, all services and information are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
14. Suspension and Termination
We reserve the right to suspend or terminate access to our website or services if:
- Payment obligations are not met.
- These Terms are violated.
- Services are used unlawfully or fraudulently.
- Continued service presents legal, security, or operational risks.
